Yves Hayaux-du-Tilly is a partner at Nader, Hayaux & Goebel, and head of its insurance and reinsurance practice. He splits his time between Mexico and London, where he is managing partner of NHG’s London office. Yves is recognized as a leading lawyer in corporate, mergers and acquisitions, banking and finance and has substantial experience in insurance-related matters, where he frequently handles high-end transactions and complex claims for leading insurance and reinsurance companies operating in Mexico and Latin America.

Background

Yves has been practicing law since 1991, advising foreign investors in doing business in Mexico. He was seconded for a year as general counsel to Bank of America Mexico and worked in the New York office of international law firm Mayer Brown as a foreign associate. He speaks fluent English and French.

Yves is a partner of Nader, Hayaux & Goebel, a Mexican independent law firm, recognized for being one of the most experienced and largest groups of corporate finance experts in the Mexican market, providing consistently high quality, sophisticated legal advice, notably in mergers & acquisitions, banking & finance, securities and capital markets. He has a proven track record by actively participating in the most complex and largest transactions carried-out in Mexico over the past 20 years. 

In 2010 he opened NHG’s London office, and since then has been splitting his time between London and Mexico advising NHG’s European and British clients on their entrance into the Mexican market and operations in Mexico, and NHG’s Mexican clients on their UK operations and dealings with the London market.

In 2011 he founded the Mexican Chamber of Commerce in Great Britain, the first Mexican Chamber of Commerce having been formed in Europe to represent the Mexican private sector in the UK and promote bilateral trade and investment. Yves is currently serving the Mexican Chamber of Commerce in Great Britain as its first chairman.

Yves is an active member of the International Association of Insurance Law (AIDA). He has been a member of AMEDESEF (the Mexican chapter of AIDA) since 1998 and has served as member of AMEDESEF Executive Board and as its Chairman. He is currently a member of the Presidential Council of AIDA.

Yves has also been an active member of the Section of International Law of the American Bar Association, where he has been Vice and Co-Chair of the Mexican Law and Transnational Legal Practice Committees.

Yves is also a member of the Insurance Committee of the International Bar Association (IBA) and the first Mexican honorary member of the Commercial Bar (COMBAR).

 

Education

Having studied law at the Universidad Panamericana in Mexico City, Yves then came back to his alma mater as a professor, lecturing on the US legal system and corporate governance to undergraduates and on commercial law to postgraduates. 

 

Experience

Yves has over 25 years of experience advising foreign and national investors in doing business in Mexico. His practice includes general advise on corporate-related matters and on mergers and acquisitions, where he has significant experience in the acquisition of financial institutions and in particular insurance companies.

He frequently works in large multinational acquisitions, from the structuring of the transaction, through the due diligence and resolving all the issues arising therefrom, to the closing and post-closing of the transaction, which may include licenses and securing regulatory authorizations.

He also has significant experience in banking and finance, regularly advising clients in securing assets in Mexico and in cross-border and local financing transactions.

Finally, Yves’ insurance practice is internationally recognized and covers the whole range of services to the insurance industry, from corporate, regulatory, organizational, operational, transactional and contentious, both to Mexican insurance companies in their day-to-day operations and to foreign and international clients in special projects, in Mexico and throughout Latin America.
